Q: How is the Affiliate Program actually administered?
A: As an affiliate, your company will be provided with a banner or button to be placed on the main page of your website. When a customer clicks on the banner or button, while browsing on your company's website, the customer will navigate to the AbrasiveSales.Com website, and provided that the customer is new to AbrasiveSales.Com (is not already registered in AbrasiveSales.Com's database), when registering into AbrasiveSales.Com's database, the customer will be assigned to the affiliate. On any purchase that customer makes over the next 30 days from the date the customer first links to AbrasiveSales.Com, your company will receive a commission equal to 10% of the purchase price of the item(s) purchased, excluding taxes, shipping fees and, of course, customer returns.
Q: Who may apply for enrollment?
A: AbrasiveSales.Com encourages any internet company or existing website to apply to the Program. Nevertheless, AbrasiveSales.Com reserves the right to refuse any applicant for acceptance. The Affiliate Program administrator will not approve any application from websites that:
· Promote sexually explicit and/or implicit materials and/or nudity
· Promote violence
· Promote any type of discrimination
· Promote illegal activities
· Violate any copyright and/or intellectual property rights
· Promote the use of unsolicited e-mail, commonly known as "spam"
Q: What are the responsibilities of the participating affiliate?
A: In part, your company is responsible for:
· Displaying the AbrasiveSales.Com banner or button prominently on the main page of your website
· Ensuring your website does not violate copyright, trademark, and/or other laws
· Ensuring that your website does not contain material that is inappropriate for affiliation with AbrasiveSales.Com, including but not limited to the content mentioned in the previous response.
AbrasiveSales.Com is responsible for:
· Processing orders
· Delivering the items ordered
· Providing all the necessary customer service
· Finally, remitting your deserved commission
Q: What if the content of the affiliates website changes after acceptance?
A: Periodically, the Affiliate Program administrator will review all affiliate websites. As long as the guidelines set forth are not violated by the existing website, the business relationship will continue. However, AbrasiveSales.Com reserves the right to terminate the affiliation at any juncture for any reason. Accordingly, the affiliate may also terminate the affiliation at any juncture for any reason.
Q: What if there is a problem and/or issue related to the affiliate linkage and assistance is necessary?
A: Simply send an e-mail to gene@abrasivesales.Com detailing the nature of the problem and/or issue and the affiliate administrator will appropriately handle the matter.
Q: How and when will my company be compensated?
A: Commissions, equal to $20.00 or more, are paid quarterly, twenty days after the end of the quarter, by remittance of check. All amounts less than $20.00 will roll over to the next quarter and will continue to accumulate until the $20.00 minimum is achieved.
Q: Are there any hidden fees or costs?
A: There are absolutely no hidden fees and/or costs that will be incurred by your company.
Q: Can AbrasiveSales.Com be utilized as an endorsement of my company's product, service and/or website?
A: Acceptance in our Affiliate Program is not an endorsement of your company's product, service and/or website. However, your company can identify your business relationship with AbrasiveSales.Com as a member of our Affiliate Program. At no time is your company to represent that any other relationship exists. Nonetheless, email our administrator at gene@abrasivesales.Com to discuss approval of future specific endorsements.
Q: How are orders tracked and credited to my company's website?
A: When a user new to AbrasiveSales.Com clicks through from your website, your unique identifier will be assigned to that user, and a cookie will be maintained on that user's hard drive that will follow them through their transactions. Once an order is placed, the amount of the sale is placed as a pending sale for you. Once the order is shipped and payment is verified, the amount will show up in your company's account.
Q: What is the importance of the link/banner?
A: Once your company has been accepted as an affiliate, your company will be sent an email with the specific link/banner that must be utilized. Please note, the potential customer must enter the AbrasiveSales.Com website via this link/banner and purchase within 30 days of his original link from your site to AbrasiveSales.Com for commissions to be remitted. Your company will be given instructions how to place the link code on your website. Graphics will also be made available to enhance your link to the AbrasiveSales.Com website. However, your company cannot reproduce any such material without express written consent of AbrasiveSales.Com. After enrollment, your company will receive a unique login ID and password in order to access all of your company's account information. You will be informed of special promotions, sales reports and vital suggestions to increase sales.
Q: What if my company's website is outside the United States?
A: Your company is welcome to apply. Please be advised commissions will be made payable in United States dollars.
Q: How does my company apply?
A: Simply fill out the online enrollment form. Prior to doing so, your legal counsel should review all the terms and conditions of the Affiliate Program contract. Clicking on the approval button constitutes an acceptance and approval of all the terms of said contract.
AbrasiveSales.Com will then review your website and duly notify your company if it has been accepted. Upon acceptance a hard copy of the contract will be remitted to your company to be executed by its principle officer and then remitted to the AbrasiveSales.Com administrator at the mailing address stated below.

1) Contractual Period: The instant agreement will begin, if and only if, Abrasive Sales.Com, ("AbrasiveSales.Com"), has approved and accepted your affiliate application. Moreover, the instant agreement may be terminated upon written notice (via email or otherwise) by either party at any juncture without cause and/or justification.
2) Modification: AbrasiveSales.Com reserves the right to modify the terms and conditions of the instant agreement, at any juncture, in the sole discretion of AbrasiveSales.Com. Notice of any and all modifications will be immediately posted on the AbrasiveSales.Com website. If any modification, amendment and/or change to the instant agreement is unacceptable to your company, your sole recourse is to terminate your contractual relationship with AbrasiveSales.Com. Your company's continued participation in the Affiliate Program subsequent to the posting of said notification(s) will constitute a binding acceptance of the modification, amendment and/or change.
3) Limitation of Liability: AbrasiveSales.Com is not and will not be liable for any and all indirect, special and/or consequential damages, and/or any and all loss of revenue(s), profit(s) and/or data, arising from, relating to, connected with, reflecting and/or pertaining to the instant agreement, notwithstanding AbrasiveSales.Com having been advised of the possibility of such damages. Moreover, AbrasiveSales.Com aggregate liability connected with and/or arising from the instant agreement will not exceed the sum total of any and all referral fees paid and/or payable to your company pursuant to the instant agreement.
4) Disclaimers: AbrasiveSales.Com makes no express and/or implied warranties and/or representations with respect to the Affiliate Program and/or any and all products displayed and/or sold through the Affiliate Program (including but not limited to warranties of fitness, merchantability, non-infringement and/or implied warranties arising out of the course of performing, dealing, and/or trade usage). Furthermore, AbrasiveSales.Com makes no representation that the functioning and operation of the AbrasiveSales.Com website will be continuously uninterrupted and error free. AbrasiveSales.Com therefore will not be liable for the consequential damages of any such interruptions and/or errors.
5) Relationship of Parties: AbrasiveSales.Com and your company, for the purposes of the instant agreement and contractual relationship arising from same, are independent contractors. The instant agreement does not and will not create any partnership, joint venture, agency, franchise, sales representative, and/or employment relationship between your company and AbrasiveSales.Com Your company will not have the authority to make and/or accept any and all offers and/or representations on behalf of AbrasiveSales.Com A basis for immediate termination of the contractual relationship would be your company's violation of the above.
6) Jurisdiction | Choice of Law | Assignment and Miscellaneous: The instant agreement will be governed by the laws of the State of Nevada, without application of the law governing choice of laws. Your company hereby expressly consents that any action in connection with and/or relating to the instant agreement will only be commenced in the state court of the State of Nevada and your company irrevocably consents to the personal jurisdiction of the courts of the State of Nevada. The instant agreement may not be assigned, by operation of law or otherwise, without the prior written consent of AbrasiveSales.Com. Subject to that restriction, the instant agreement is and will be binding on, inure to the benefit and be enforceable against your company and AbrasiveSales.Com and their respective successors, heirs and assigns. AbrasiveSales.Com's failure to strictly enforce performance of the instant agreement is not and will not constitute a waiver of AbrasiveSales.Com's right to subsequently enforce such provisions and/or any other provision of the instant agreement. The terms and conditions are fully and completely detailed in the instant agreement and AbrasiveSales.Com did not and will not make any oral representations in connection with the instant agreement. Any modification and/or amendments to the instant agreement must be in writing as discussed supra.
7) Referral Fees: AbrasiveSales.Com will remit to your company a check payable to your company in the amount equal to 10% of the sales price of an item. That item must have been purchased by a customer during a visit to the AbrasiveSales.Com website (i) initiated from your company's website, (ii) said visit must have been instituted visa via entrance through the AbrasiveSales.Com link on your company's website and (iii) purchased by the customer within 30 days of the original linking from your company's website to AbrasiveSales.Com. For purposes of the instant agreement, the purchase price constitutes the actual sale price of an item, less volume discounts, and not including sales taxes of any sort, delivery fees, handling fees, gift wrapping fees and any incidental costs associated with the subject sale. The remittance of the referral fees is condition upon the accumulation of over $20.00 in total referral fees. Remittance of the fees will occur quarterly, twenty days after the end of each quarter. If the aggregate total of the referrals fees do not exceed $20.00 at the close of the quarter, your company will be continuously credited each and every quarter until said referral fees exceed $20.00.
8) Conspicuously Placing Link/Banner on the Main Page: Your company expressly agrees as a material and substantial condition of the instant agreement, your company will conspicuously place the AbrasiveSales.Com link/banner upon the main page of your company's website.
9) Independent Investigation: Your company acknowledges that a duly authorized representative of your company has fully and completely read the instant agreement and that said representative has been duly advised by legal counsel. Your company's representative hereby agrees to all the terms and conditions of the instant agreement. Your company acknowledges and understands that AbrasiveSales.Com may, directly and/or indirectly, solicit customer referrals on the terms that differ from the terms and conditions of the instant agreement and/or operate websites that are similar to and/or compete with your company's website. Furthermore, your company has independently evaluated the desirability of participating in the Affiliate Program. Your company acknowledges that it is not relying on any representations, guarantees, warranties and/or statements not set forth in the instant agreement. Moreover, your company understands that a (i) click upon the below situated acceptance button and (ii) a completion and remittance of the application will constitute an acceptance, on the part of your company, of all terms of the instant agreement. Additionally, your company agrees to (i) have its duly authorized representative execute a hard copy of the instant agreement upon arrival visa via mail and (ii) to remit said executed original hard copy to AbrasiveSales.Com at its mailing address.
